Terms of Service

These Terms of Service (“Terms”) are an agreement between you and A.I. Victor Chicu, a sole proprietorship registered in the Republic of Moldova under IDNO 1026023023591, with its registered address at Bulevardul Moscova 9/5, Chișinău, Republic of Moldova, which operates DeepGraph (“DeepGraph”, “we”, “us”). They apply to your use of the DeepGraph website, web app, and related services (the “Service”).

By creating an account, starting a trial, analyzing a repository as a guest, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

Definitions

  • Account means your registered DeepGraph account, including a guest session used without registration.
  • Your Content means the repositories, Git history, and other material you connect, upload, or otherwise make available to the Service, and the reports generated from them.
  • Connected Provider means a third-party source of repositories, such as GitHub, GitLab, or Bitbucket, that you authorize DeepGraph to access.
  • Plan means the subscription plan shown on the pricing page that you choose for your Account.

The Service

DeepGraph analyzes Git history from your Connected Providers and from local repositories you select, and presents repository activity, contributor, and commit reports.

We continuously improve the Service and may change it at any time. If a change materially reduces the functionality of a Plan you pay for, we will tell you at least thirty (30) days in advance, and you may cancel your Plan before the change takes effect.

We may make changes without notice when they are needed to address a security risk or to comply with the law.

Unless we agree otherwise in writing, the Service has no specific service levels and is provided “as is” and “as available”.

Accounts and access

You must provide accurate information when you create an Account and keep your sign-in credentials secure. You are responsible for activity under your Account. Tell us promptly at support@deepgraph.app if you believe your Account has been accessed without permission. You can review and sign out your active sessions in Settings → Security.

Guests may analyze public repositories within the limits shown in the Service. Other features require a registered Account and an active trial or Plan.

Your Content and Connected Providers

You keep all rights in Your Content. You grant DeepGraph a non-exclusive, worldwide license to host, copy, process, and display Your Content only as needed to provide, secure, and support the Service for you.

You confirm that you have the right to connect, upload, and analyze every repository you use with the Service, and that doing so does not infringe anyone’s rights or break any law or agreement that applies to you.

When you connect a provider, DeepGraph accesses only the repositories and permissions you grant through that provider. You can revoke access in the provider’s settings at any time. Your use of a Connected Provider is also governed by that provider’s own terms.

For local analysis, your browser uploads the Git history (the .git directory) of the repositories you select. It does not upload your working files.

You are responsible for keeping your own copies of your repositories. DeepGraph is not a backup service.

Contributor information

Reports include information about the people who contributed to your repositories, such as names, email addresses, and commit activity. You are responsible for having a lawful basis to analyze that information and for informing contributors where the law requires it. For this information, DeepGraph processes personal data on your behalf and according to your instructions, as described in our Privacy Policy.

Commit and line counts describe recorded changes. They do not measure an individual’s performance. You must not use DeepGraph reports as the sole basis for decisions about a person’s employment or compensation.

Acceptable use

You must not:

  • analyze repositories you are not authorized to access, or use the Service to break any law;
  • attempt to access other users’ data, or probe, scan, or test the Service’s security without our written permission;
  • overload the Service, bypass its rate limits or usage limits, or use automated means to access it other than through the interfaces we provide;
  • copy, resell, or reverse engineer the Service, except where the law expressly allows it; or
  • create multiple Accounts to obtain more than one free trial or to avoid limits.

Free trial

New Accounts may start a fourteen (14) day free trial. No payment details are required, and each person or organization may use one trial. When the trial ends, reports stay locked until you choose a Plan. We may change or withdraw the trial offer for new sign-ups at any time.

Plans, payment, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also governed by Paddle’s buyer terms.

Plan prices are listed on the pricing page in euros and include VAT where it applies. Plans are billed monthly in advance and renew automatically at the start of each billing period until you cancel.

Our Plans are Core and Scale. Each Plan limits how many projects (Git repositories), and how much Git history in total, your account may contain, as shown on the pricing page. The Service refuses or stops analyses that would exceed your Plan’s limits.

We may change Plan prices with at least thirty (30) days’ notice. A new price applies from your next billing period after that notice, and you may cancel before it takes effect.

If a payment fails and remains unpaid, we may suspend access to paid features until the payment is completed.

Cancellation and refunds

You can cancel your Plan at any time in Settings → Billing. Cancellation takes effect at the end of the current billing period, and you keep access to your Plan until then.

Refunds are governed by our Refund Policy. Nothing in these Terms limits rights you have as a consumer under mandatory law.

Suspension

We may temporarily suspend the Service for maintenance, to address a security risk, or when the law requires it. We try to keep planned maintenance short and to announce it in advance where we can.

We may suspend or restrict an Account without prior notice if we reasonably believe it is being used in breach of these Terms, in a way that harms the Service or other users, or unlawfully.

Intellectual property

DeepGraph and its licensors own all rights in the Service, including its software, design, and brand. Apart from the right to use the Service under these Terms, you receive no rights in it.

If you send us feedback or suggestions, we may use them without any obligation to you.

Privacy

Our Privacy Policy explains how we collect and use personal data, both about you as an Account holder and about contributors whose information appears in Your Content.

Confidentiality

We treat Your Content as confidential. We use it only to provide the Service to you and do not disclose it to others, except to service providers that help us run the Service under confidentiality obligations, or when the law requires it.

Disclaimer of warranties

To the extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that reports will be complete or accurate when source data from Connected Providers or local repositories is incomplete, rewritten, or unavailable.

Limitation of liability

To the extent permitted by law, DeepGraph’s total liability arising out of or relating to these Terms is limited to the greater of the fees you paid for the Service in the twelve (12) months before the event giving rise to the liability, or one hundred euros (€100).

Neither party is liable for lost profits, revenue, or business, for loss or corruption of data, or for indirect, incidental, or consequential damages.

These limits do not apply to liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law.

Indemnification

If you use the Service on behalf of an organization, that organization will defend and indemnify DeepGraph against third-party claims arising from Your Content or from its use of the Service in breach of these Terms or the law.

Term and termination

These Terms apply for as long as you use the Service. You can stop using the Service at any time and delete your Account in Settings. Deleting your Account permanently removes your analyses, reports, and Account data from DeepGraph’s active systems. It does not cancel an active Plan retroactively.

We may terminate your Account if you materially breach these Terms and do not fix the breach within fourteen (14) days of our notice, or immediately for serious or repeated breaches. If we end the Service for reasons other than your breach, we will refund any prepaid fees for the unused period.

Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, and governing law, will survive.

Changes to these Terms

We may update these Terms. For material changes, we will notify you by email or in the Service at least thirty (30) days before they take effect. If you do not accept the updated Terms, you may cancel your Plan and delete your Account before they take effect.

Governing law and disputes

These Terms are governed by the laws of the Republic of Moldova, excluding its conflict of law rules. Disputes will be resolved by the competent courts of Chișinău, Republic of Moldova. If you are a consumer, you also keep the protection of the mandatory laws and courts of the country where you live.

General

We may use service providers, including hosting providers, Connected Providers, and Paddle, to provide the Service, and we remain responsible for their work on our behalf.

You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of our business.

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and DeepGraph about the Service.
